01Acceptance of Terms
Welcome to Fidly. By accessing or using our website at fidly.ma and any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree with any part of these Terms, you must not access or use the Service. By creating an account or using the platform, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
02Description of the Service
Fidly is a multi-tenant SaaS platform that provides digital loyalty and stamp card solutions for businesses. Our platform enables businesses to:
- Create and manage digital loyalty programs
- Issue digital stamp cards, NFC loyalty cards, and wallet passes (Apple Wallet & Google Wallet)
- Track customer visits, rewards, and retention analytics
- Integrate with point-of-sale (POS) systems
- Engage customers via automated notifications and promotions
03User Accounts
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in violation of these Terms.
04Subscriptions & Payments
Fidly offers both free and paid subscription plans. By selecting a paid plan, you agree to pay all applicable fees as described at the time of purchase.
- Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected
- All fees are non-refundable unless otherwise specified in writing
- We reserve the right to change pricing with 30 days prior notice
- Failure to pay may result in suspension or termination of your access to the Service
- Taxes may apply depending on your jurisdiction and are the responsibility of the subscriber
05Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. Specifically, you shall not:
- Violate any applicable local, national, or international law or regulation
- Transmit any viruses, malware, or harmful code
- Attempt to gain unauthorized access to any part of the Service or its systems
- Use the Service to send unsolicited communications (spam)
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scrapers) to access the Service without prior written consent
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity
06Intellectual Property
The Service and all of its original content, features, and functionality are owned by Fidly and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any data and content you upload to the Service. By uploading content, you grant Fidly a non-exclusive, worldwide, royalty-free license to use, display, and process such content solely for the purpose of operating and improving the Service.
The Fidly name, logo, and all related trademarks are the property of Fidly and may not be used without prior written permission.
07Data & Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
As a business user, you are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including obtaining appropriate consent from your customers before collecting their personal data through the Fidly platform.
Fidly implements industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
08Third-Party Services
The Service may integrate with or contain links to third-party services, including but not limited to payment processors, POS systems, Apple Wallet, and Google Wallet. These third-party services are governed by their own terms and privacy policies.
Fidly is not responsible for the content, functionality, or practices of any third-party services. Your use of such services is at your own risk.
09Limitation of Liability
To the maximum extent permitted by applicable law, Fidly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Fidly's total liability exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.
10Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may terminate your account at any time by contacting us at contact@fidly.ma. Upon termination, your right to use the Service will immediately cease.
Provisions of these Terms which by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11Modifications to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, by posting the updated Terms on the Service or by sending you an email notification.
Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
12Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts located in Casablanca, Morocco.
